THE SITE AND SERVICES ARE FOR NON-EMERGENCY USE ONLY AND ARE NOT APPROPRIATE FOR ALL MEDICAL CONDITIONS OR CONCERNS. 1. Acceptance of Terms These Terms of Use ("Terms") govern your access to and use of the website, online platform, applications, and related services (collectively, the "Platform") operated by Livv Care LLC ("Livv," "we," "us," or "our"). By accessing or using the Platform, creating an account, submitting information, enrolling in services, completing a purchase, or clicking any button labeled "Complete & Continue," "Next – I Confirm & Agree," "Submit," "I Agree," or any similar affirmative action, you acknowledge that you have read, understand, and agree to be legally bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform. Your continued use of the Platform constitutes acceptance of these Terms and any updates made in accordance with Section 14. 2. Platform Role; No Practice of Medicine or Pharmacy 2.1 Technology Platform Only Livv Care LLC operates a technology platform that facilitates connections between users and independent, state-licensed healthcare providers ("Providers") and licensed pharmacies. Livv does not: • Practice medicine;• Practice pharmacy;• Provide medical advice;• Employ or supervise Providers;• Control clinical judgment;• Determine diagnoses;• Determine whether prescriptions are issued;• Dispense, compound, or ship medications. The Platform is an administrative and communication tool only. 2.2 Independent Medical Judgment All medical services are provided solely by independent Providers who are licensed in the state where you are physically located at the time services are rendered. Providers exercise independent professional judgment in evaluating patients and determining appropriate care. You acknowledge that: • Providers may decline to treat you;• Providers may determine that a requested medication is not appropriate;• Providers may require additional information, laboratory testing, or follow-up before prescribing;• Providers may discontinue treatment at their professional discretion. Livv does not interfere with or control Provider medical judgment. 2.3 No Provider-Patient Relationship With Livv Use of the Platform does not create a provider-patient relationship between you and Livv Care LLC. A provider-patient relationship is formed only between you and the independent Provider who agrees to evaluate and treat you. Livv is not responsible for: • Medical decisions made by Providers;• Clinical outcomes;• Adverse reactions;• Treatment effectiveness;• Prescription decisions. 2.4 Pharmacy Fulfillment Disclaimer If a prescription is issued: • You may select a pharmacy where permitted;• Livv may facilitate electronic transmission of prescriptions to a pharmacy;• The dispensing pharmacy operates independently of Livv. The pharmacy is solely responsible for: • Verifying prescription validity;• Conducting drug utilization review;• Compliance with federal and state pharmacy laws;• Compounding standards where applicable;• Labeling and counseling obligations;• Shipping and delivery compliance. Livv does not manufacture, compound, dispense, label, or ship medications. 2.5 Emergency Disclaimer The Platform is not intended for emergency medical conditions. If you believe you are experiencing a medical emergency, call 911 or seek immediate in-person medical attention. Livv and Providers do not provide emergency monitoring or emergency services. 2.6 Geographic Limitations Healthcare services are available only when you are physically located in a state where the assigned Provider is licensed. You agree to: • Accurately represent your physical location;• Not misrepresent your residency;• Not use technology to disguise your location. Providing inaccurate location information may result in termination of services without refund. 3. Eligibility, Account Creation & User Representations 3.1 Age Requirement You must be at least eighteen (18) years of age to use the Platform. By creating an account or using the Platform, you represent and warrant that: • You are at least 18 years old;• You have the legal capacity to enter into a binding agreement;• You are not prohibited from receiving healthcare services under applicable law. Livv does not knowingly provide services to minors. This Site is offered only to individuals at least 18 years old, or the age of majority in their jurisdiction. Users aged 13–17 may use the Site only with verified parental consent and only for services offered to their age group. The Site is not directed to children under 13. 3.2 Residency and Physical Location You represent and warrant that: • You are physically located in the state you identify at the time telehealth services are rendered;• You will not access telehealth services from a jurisdiction where the assigned Provider is not licensed;• You will not misrepresent your physical location;• You will not use VPNs or similar technologies to conceal your location. Misrepresentation of location may result in immediate termination of services. 3.3 Accurate and Complete Information You agree to provide truthful, accurate, current, and complete information, including but not limited to: • Medical history;• Current medications;• Allergies;• Prior diagnoses;• Identity information;• Contact information. You acknowledge that Providers rely entirely on the information you submit in making clinical decisions. Livv is not responsible for outcomes resulting from inaccurate, incomplete, or misleading information provided by you. 3.4 Identity Verification Livv reserves the right to verify your identity through reasonable means, which may include: • Requesting government-issued identification;• Using third-party identity verification services;• Implementing fraud-prevention measures. You authorize Livv to use such services for identity verification and compliance purposes. Failure to complete identity verification may result in denial of services. 3.5 Account Security You are responsible for: • Maintaining the confidentiality of your account credentials;• Restricting access to your account;• All activities conducted under your account. You agree to notify Livv promptly of any unauthorized use of your account. Livv is not liable for losses resulting from unauthorized access where reasonable safeguards have been implemented. 3.6 Prohibited Uses You agree not to: • Seek prescriptions under false pretenses;• Attempt to obtain duplicate prescriptions from multiple Providers;• Provide fraudulent medical information;• Resell or redistribute medications;• Harass Providers or staff;• Use automated scripts, bots, or scraping tools;• Attempt unauthorized access to Platform systems;• Violate any federal or state healthcare law. Violation of this section may result in suspension or termination of your account. 3.7 Payment Authorization Representation By providing payment information, you represent and warrant that: • You are authorized to use the payment method;• The information provided is accurate and current;• You authorize Livv and its payment processors to charge your payment method for disclosed fees. Initiating a chargeback in bad faith may result in account termination and collection action where permitted by law. 3.8 No Guarantee of Services Submission of intake forms or payment does not guarantee: • Provider acceptance;• Issuance of a prescription;• Medication availability;• Clinical approval. Medical evaluation fees may be non-refundable once review by a Provider has commenced, except as required by law. 4. Electronic Acceptance and Binding Agreement 4.1 Electronic Signature and Legal Effect By clicking "Next" and/or "Continue", "Complete & Continue," "Next – I Confirm & Agree," "Submit," "I Agree," or any similar affirmative action, you: • Acknowledge that you have read these Terms;• Agree to be legally bound by them;• Consent to conduct transactions electronically;• Provide your electronic signature under applicable federal and state electronic signature laws, including the Electronic Signatures in Global and National Commerce Act (ESIGN). Your electronic acceptance is the legal equivalent of a handwritten signature and is binding and enforceable. 4.2 Clear and Conspicuous Disclosure You acknowledge that immediately prior to clicking the applicable action button, you are presented with clear and conspicuous disclosures that may include: • Telehealth consent;• Payment authorization;• Subscription terms;• Communication and SMS consent;• Privacy acknowledgments. You understand that your affirmative action constitutes agreement to all disclosures presented at that time. 4.3 Agreement to Related Policies and Disclosures By clicking the applicable acceptance button, you acknowledge and agree to: • These Terms of Use;• The Privacy Policy;• Telehealth consent disclosures presented during onboarding;• Payment and subscription terms presented at checkout;• Transactional communication consent;• Marketing communication consent, if you choose to opt in. Each referenced document or disclosure is incorporated by reference into these Terms and forms part of your agreement with Livv Care LLC. 4.4 Consent Not a Condition of Purchase Where marketing communications consent is requested, you acknowledge that: • Consent to receive marketing communications is not required to receive medical services;• Consent to receive marketing communications is not a condition of purchase;• You may decline marketing communications and still receive care. Transactional communications necessary to provide services may still be sent. 4.5 Record of Consent Livv maintains records of user acceptance, which may include: • Date and time of acceptance;• IP address;• Device information;• The version of disclosures presented;• The phone number provided at the time of consent. These records are maintained for business and compliance purposes. 5. Communications and Text Message Consent 5.1 Consent to Electronic Communications By creating an account or using the Platform, you agree that Livv Care LLC may communicate with you electronically, including by email, secure platform messaging, telephone, and text message (SMS or MMS). Electronic communications may relate to your account, telehealth services, prescription status, shipping updates, billing matters, customer support, and service-related notifications. You agree that electronic communications satisfy any requirement that communications be in writing. By using the Platform, you consent to the electronic transmission, storage, and potential recording of communications with providers where permitted by law. You agree that LIVV may store transcripts, chat messages, and telehealth records consistent with applicable regulations and privacy practices. 5.2 Text Message Consent If you provide your mobile phone number and click "Complete & Continue," "Next – I Confirm & Agree," or a similar affirmative action when text message disclosures are presented, you consent to receive text messages from Livv Care LLC at the number provided. These messages may include: • Appointment reminders;• Care coordination communications;• Prescription and shipping updates;• Account notifications;• Promotional and marketing messages, including recurring automated messages. Text messages may be sent using automated dialing technology. Message frequency varies. Message and data rates may apply. Consent to receive marketing text messages is not required to receive medical services and is not a condition of purchase. 5.3 Withdrawal of Consent You may withdraw consent to receive marketing text messages at any time by replying STOP to any marketing text message or by contacting support@joinlivv.com. After opting out, you may receive a final confirmation message. Withdrawal of marketing consent does not affect transactional messages necessary to provide services you have requested. 5.4 No Sale of Phone Numbers Livv Care LLC does not sell your mobile phone number. Your phone number may be shared with communication service providers acting on our behalf, subject to contractual confidentiality and data protection obligations. 5.5 Record of Consent Livv maintains records of your consent, which may include the date and time of acceptance, the phone number provided, the IP address, and the disclosures presented at the time you provided consent. 6. Fees, Payment Authorization & Subscriptions 6.1 Fees for Services Fees for services are displayed at checkout prior to completing your purchase. By clicking "Complete & Continue," "Next – I Confirm & Agree," or similar affirmative action, you: • Authorize Livv Care LLC and its payment processor to charge your selected payment method for the amount displayed;• Confirm that you have reviewed and accepted the pricing presented;• Acknowledge that medical evaluation fees may be charged whether or not a prescription is issued, unless otherwise stated. All fees are listed in U.S. dollars. Livv reserves the right to modify pricing at any time. Updated pricing applies to future purchases or renewals. Services provided through LIVV are cashpay only. LIVV and its affiliated pharmacies are not enrolled with federal or state health programs (including Medicare, Medicaid, Tricare) for these services. By using our services, you agree not to seek reimbursement from any government program. THE FEDERAL NO SURPRISE BILLING ACT DOES NOT APPLY TO THESE CASHPAY SERVICES. 6.2 Subscription Programs Certain products or services may be offered on a subscription or automatically renewing basis. If you enroll in a subscription: • Your subscription will automatically renew at the interval disclosed at checkout (for example, monthly or quarterly);• Your payment method will be automatically charged at the beginning of each billing cycle;• The renewal charge will reflect the then-current subscription rate, unless otherwise disclosed. Subscription details, including renewal frequency and price, are presented prior to completing enrollment. By clicking the applicable acceptance button, you expressly authorize recurring charges consistent with the subscription terms presented. 6.3 Automatic Renewal Disclosure If your purchase includes automatic renewal: • The renewal terms are disclosed prior to purchase;• You will receive confirmation of your subscription enrollment by email;• Your subscription will continue until canceled. You are responsible for reviewing subscription details before completing your purchase. 6.4 Cancellation Policy Certain products or services are available on a subscription basis with automatic renewals until cancelled. By enrolling, you authorize recurring charges. You may cancel up to 48 hours before renewal to avoid charges. You may cancel your subscription at any time: • Through your online account settings, if available; or• By contacting support@joinlivv.com. Cancellation requests must be received prior to the renewal processing date to avoid the next recurring charge. If a renewal charge has already been processed, it may not be refundable except as required by law. 6.5 Refund Policy Unless otherwise stated: • Medical evaluation fees are non-refundable once a Provider has reviewed your information;• Prescription processing fees may not be refundable once fulfillment has begun;• Shipping fees are non-refundable once an order has shipped. Refund determinations may be made at Livv’s discretion in accordance with applicable law. Nothing in this section limits any rights you may have under applicable consumer protection laws. 6.6 Payment Authorization By providing a payment method, you represent and warrant that: • You are authorized to use the payment method;• The payment information provided is accurate and current;• You authorize Livv to charge your payment method for all amounts due under these Terms. You agree not to initiate chargebacks in bad faith. If a chargeback is initiated and reversed in Livv’s favor, Livv may recover reasonable administrative costs associated with the dispute where permitted by law. 6.7 Failed Payments If a payment method is declined: • Livv may attempt to process the payment again;• Livv may suspend or cancel your subscription;• Livv may require updated payment information before continuing services. Livv is not responsible for fees charged by your financial institution due to declined transactions. 6.8 Taxes You are responsible for any applicable taxes associated with your purchase, except where prohibited by law. 6.9 Changes to Subscription Terms Livv may modify subscription pricing or terms upon advance notice. Continued participation in a subscription after notice of changes constitutes acceptance of the updated terms. 7. Telehealth Services & Informed Consent 7.1 Nature of Telehealth Services Healthcare services facilitated through the Platform are delivered via telehealth technologies. Telehealth may include: • Online medical questionnaires;• Secure electronic messaging;• Audio consultations;• Video consultations;• Remote review of medical information and health history. Telehealth services are provided by independent, state-licensed healthcare Providers. 7.2 Consent to Receive Care via Telehealth By using the Platform and clicking "Complete & Continue," "Next – I Confirm & Agree," or similar affirmative action, you: • Confirm that you have reviewed the telehealth consent disclosures presented during onboarding;• Consent to receive healthcare services through telehealth technologies;• Acknowledge that telehealth services may differ from in-person medical care. Your electronic acceptance constitutes confirmation of your telehealth consent. 7.3 Potential Benefits of Telehealth Potential benefits of telehealth services may include: • Improved access to care;• Convenience;• Reduced travel time;• Increased continuity of care. However, specific outcomes are not guaranteed. 7.4 Risks and Limitations of Telehealth You understand and acknowledge that telehealth services involve potential risks and limitations, including: • The information transmitted may not be sufficient for appropriate medical decision-making;• Technical failures may occur;• Delays in evaluation or treatment may occur;• Electronic systems may experience interruptions;• Telehealth may not be appropriate for all medical conditions. A Provider may determine that telehealth is not appropriate for your condition and may recommend in-person evaluation. 7.5 No Emergency Services The Platform is not intended for emergency care. If you are experiencing a medical emergency, you should call 911 or seek immediate in-person medical attention. Livv and Providers do not provide emergency monitoring or emergency response services. 7.6 Provider Discretion Providers retain sole professional discretion to: • Accept or decline treatment;• Request additional information;• Require laboratory testing;• Modify treatment plans;• Decline to prescribe medications;• Recommend in-person care. Clinical decisions are made independently by the Provider. 7.7 Follow-Up Responsibility You agree to: • Provide accurate and updated health information;• Inform the Provider of any adverse reactions;• Seek in-person care when advised;• Follow medication and treatment instructions. Failure to follow medical advice may affect treatment outcomes. 7.8 Privacy of Telehealth Communications Telehealth communications are conducted using secure systems; however, you acknowledge that: • No electronic system can be entirely secure;• Unauthorized access, while unlikely, is possible;• You accept the inherent risks associated with electronic communication. Additional information regarding privacy practices is provided in the Privacy Policy. 7.9 Medical Records Records of telehealth services are maintained in accordance with applicable law. You may request access to your medical records from the treating Provider consistent with applicable regulations. 7.10 Withdrawal of Telehealth Consent You may withdraw consent to telehealth services at any time by contacting support@joinlivv.com. Withdrawal of consent may result in discontinuation of services. Withdrawal does not affect care already provided. 7.11 Geographic and Licensing Limitations Telehealth services are available only when you are physically located in a state where the assigned Provider is licensed. You agree to accurately represent your physical location at the time services are rendered. 8. Prescriptions, Medications & Pharmacy Fulfillment 8.1 No Guarantee of Prescription Submission of medical information, completion of intake forms, or payment of fees does not guarantee that: • A Provider will determine treatment is appropriate;• A prescription will be issued;• A specific medication will be prescribed;• A prescription will be renewed or refilled. All prescribing decisions are made solely at the independent clinical discretion of the Provider. 8.2 Provider Authority If a Provider determines that medication is appropriate, the Provider may: • Issue a prescription;• Modify dosage or formulation;• Decline to prescribe a requested medication;• Require additional medical information;• Require laboratory testing;• Require follow-up evaluation before issuing or renewing a prescription. You acknowledge that clinical decisions are based solely on medical judgment. 8.3 Pharmacy Selection and Fulfillment If a prescription is issued: • You may select a pharmacy where permitted;• Livv may facilitate electronic transmission of prescriptions to a pharmacy;• The dispensing pharmacy operates independently of Livv. The pharmacy retains sole authority to: • Verify prescription validity;• Conduct drug utilization review;• Substitute medications as permitted by law;• Decline to fill a prescription;• Delay dispensing pending clarification. Livv does not control pharmacy dispensing decisions. 8.4 Compounded Medications (If Applicable) If a compounded medication is prescribed: • It is prepared by a licensed pharmacy pursuant to a valid prescription;• Compounded medications are not approved by the U.S. Food and Drug Administration;• Compounded medications are prepared for individual patients based on a Provider’s determination. You acknowledge that compounded medications may differ from commercially available products. 8.5 Medication Availability Medication availability may be affected by: • Manufacturer shortages;• Supply chain disruptions;• Regulatory restrictions;• Pharmacy inventory limitations. Livv does not guarantee availability of any medication. 8.6 Shipping and Delivery If medication is dispensed: • Shipping timelines are estimates only;• Delivery dates are not guaranteed;• Livv is not responsible for delays caused by carriers;• You are responsible for providing accurate shipping information. Risk of loss may transfer upon shipment where permitted by law. 8.7 Adverse Reactions and Side Effects All medications carry potential risks, including side effects and adverse reactions. You agree to: • Review pharmacy-provided medication information;• Follow dosing instructions;• Contact a healthcare provider if you experience concerning symptoms;• Seek emergency care when appropriate. Livv does not provide emergency medical advice. 8.8 Prescription Refills Refills may require: • Follow-up evaluation;• Updated medical information;• Additional laboratory testing;• Provider approval. Automatic refills may not be available for all medications. 8.9 Regulatory Compliance All prescriptions are issued in accordance with applicable federal and state laws. You agree not to: • Transfer medications to another individual;• Use medication for purposes other than prescribed;• Attempt to obtain duplicate prescriptions from multiple Providers. 8.10 Controlled Substances Where applicable, controlled substances may be subject to additional legal requirements, including: • Identity verification;• State restrictions;• Prescription monitoring program review. Availability of controlled substances through telehealth may be limited or unavailable in certain jurisdictions. 9. User Responsibilities & Prohibited Conduct 9.1 Responsibility for Information Provided You are responsible for ensuring that all information you provide through the Platform is truthful, accurate, current, and complete. You agree to promptly update your information if it changes. Healthcare Providers rely on the information you submit when evaluating and treating you. 9.2 Compliance with Medical Instructions You agree to: • Follow all treatment instructions provided by your healthcare Provider;• Take medications only as prescribed;• Not exceed prescribed dosages;• Not share prescribed medications with others;• Report adverse effects or changes in condition as advised. Failure to follow medical guidance may result in discontinuation of services. 9.3 Lawful Use of the Platform You agree to use the Platform only for lawful purposes and in compliance with all applicable federal and state laws. You may not use the Platform to: • Obtain prescriptions for resale or redistribution;• Seek medications under false pretenses;• Misrepresent your identity or medical condition;• Circumvent identity verification procedures;• Access services from a state where the assigned Provider is not licensed. 9.4 Account Security You are responsible for: • Maintaining the confidentiality of your login credentials;• Restricting access to your account;• All activity conducted under your account. You agree to notify Livv promptly of any unauthorized use of your account. 9.5 Prohibited Technical Activities You may not: • Interfere with or disrupt the Platform;• Attempt to gain unauthorized access to systems or data;• Use automated scripts, bots, or scraping tools;• Reverse engineer or attempt to extract source code;• Introduce malicious software or harmful code. Livv reserves the right to investigate suspected violations. All content and technology on the Platform are owned or licensed by LIVV. You may not copy, modify, or distribute them without written permission. 9.6 Respectful Conduct You agree to interact respectfully with: • Healthcare Providers;• Pharmacy personnel;• Customer support staff. Harassment, abuse, threats, or inappropriate conduct may result in suspension or termination of access. 9.7 Consequences of Violations If you violate these Terms, Livv may: • Suspend or terminate your account;• Refuse future services;• Cancel active subscriptions;• Report unlawful conduct to appropriate authorities. Termination does not relieve you of payment obligations incurred prior to termination. 10. Disclaimers of Warranties 10.1 No Medical Guarantee Healthcare outcomes vary by individual. Livv Care LLC does not guarantee: • That any treatment will be effective;• That any medication will achieve a particular result;• That symptoms will improve;• That a specific diagnosis will be made;• That a prescription will be issued or refilled. All clinical decisions are made by independent healthcare Providers based on their professional judgment. 10.2 Platform Provided "As Is" THE PLATFORM AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVV CARE LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING: • Implied warranties of merchantability;• Fitness for a particular purpose;• Non-infringement;• Accuracy or completeness of information;• Uninterrupted or error-free operation. Livv does not warrant that: • The Platform will be available at all times;• Communications will be free from delays or interruptions;• Technical issues will not occur. 10.3 No Responsibility for Third Parties Livv is not responsible for the acts or omissions of: • Independent healthcare Providers;• Pharmacies;• Laboratories;• Payment processors;• Shipping carriers;• Third-party service providers. Healthcare services are provided solely by licensed Providers. Prescription dispensing is performed solely by licensed pharmacies. 11. Limitation of Liability 11.1 Limitation of Damages TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVV CARE LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR: • Indirect damages;• Incidental damages;• Consequential damages;• Special damages;• Punitive damages;• Loss of profits;• Loss of revenue;• Loss of data;• Loss of goodwill. This limitation applies whether the claim arises in contract, tort (including negligence), strict liability, or otherwise, even if Livv has been advised of the possibility of such damages. 11.2 Cap on Liability IN NO EVENT SHALL LIVV’S TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF (A) AMOUNTS YOU PAID IN THE LAST SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) $100. 11.3 Applicability of Limitations Some jurisdictions do not allow certain limitations of liability. In such jurisdictions, Livv’s liability shall be limited to the fullest extent permitted by applicable law. 12. Indemnification 12.1 User Indemnification You agree to indemnify, defend, and hold harmless Livv Care LLC and its affiliates, officers, directors, employees, contractors, agents, and service providers from and against any claims, demands, liabilities, damages, losses, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: • Your violation of these Terms;• Your misuse of the Platform;• Information you provide that is inaccurate, incomplete, or misleading;• Your failure to follow medical advice or instructions;• Your improper use of prescribed medication;• Your violation of any applicable law or regulation;• Your infringement of any third-party rights. 12.2 Cooperation Livv reserves the right to assume the exclusive defense and control of any matter subject to indemnification, at your expense. You agree to cooperate fully in the defense of any such claim. 12.3 Survival Your indemnification obligations survive termination of your account and continued use of the Platform. 13. Dispute Resolution & Arbitration Agreement 13.1 Informal Resolution If you have a concern or dispute with Livv Care LLC, you agree to first contact customer support at support@joinlivv.com and attempt to resolve the issue informally. Most concerns can be resolved without formal proceedings. 13.2 Agreement to Arbitrate Except as otherwise provided below, you and Livv agree that any dispute, claim, or controversy arising out of or relating to: • These Terms;• Your use of the Platform;• Telehealth services facilitated through the Platform;• Communications, billing, subscriptions, or payments;• Privacy or data practices; shall be resolved exclusively through binding individual arbitration. This agreement to arbitrate applies to claims based in contract, tort, statute, fraud, misrepresentation, or any other legal theory. 13.3 Individual Basis Only / Class Action Waiver Arbitration shall be conducted on an individual basis only. You and Livv agree that: • Class actions are not permitted;• Collective actions are not permitted;• Representative actions are not permitted;• You waive any right to participate as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that individual claim. 13.4 Arbitration Rules and Procedure Arbitration shall be administered by a nationally recognized arbitration provider in accordance with its consumer arbitration rules in effect at the time the claim is filed. The arbitration may be conducted: • In writing;• By telephone;• By video conference;• Or in person in the State of Florida, unless otherwise required by law. Each party shall bear its own attorneys’ fees unless otherwise required by law or awarded by the arbitrator. 13.5 Small Claims Option Either party may bring an individual claim in small claims court if the claim qualifies and remains within that court’s jurisdiction. 13.6 Governing Law This Arbitration Agreement is governed by the Federal Arbitration Act. Except as otherwise required by law, these Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. 13.7 Opt-Out Right (Email Notice Only) You may opt out of this Arbitration Agreement by sending written notice within thirty (30) days of first accepting these Terms. The opt-out notice must include: • Your full name;• The email address associated with your account;• A clear statement that you wish to opt out of arbitration. Opt-out notices must be sent to: support@joinlivv.com Opting out of arbitration does not affect any other provision of these Terms. 13.8 Severability If any portion of this Arbitration Agreement is found unenforceable, the remaining portions shall remain in effect to the fullest extent permitted by law. 14. General Provisions 14.1 Entire Agreement These Terms, together with the Privacy Policy and any additional disclosures presented at the time of enrollment, purchase, or acceptance, constitute the entire agreement between you and Livv Care LLC regarding use of the Platform. They supersede all prior or contemporaneous communications, agreements, or understandings relating to the subject matter herein. 14.2 Modifications to Terms Livv may update or modify these Terms from time to time. If material changes are made, updated Terms will be posted on the Platform with a revised effective date. Your continued use of the Platform after changes become effective constitutes acceptance of the updated Terms. 14.3 Severability If any provision of these Terms is determined to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. 14.4 Waiver Failure by Livv to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. 14.5 Assignment You may not assign or transfer your rights or obligations under these Terms without Livv’s prior written consent.
