Introduction LIVV Care LLC ("LIVV," "we," "us," or "our") operates a telehealth technology platform that connects patients with independent licensed healthcare providers. These Terms and Conditions ("Terms") govern your access to and use of LIVV's website, applications, and services (the "Site"). By using the Site, you agree to these Terms. IF YOU DO NOT AGREE, DO NOT USE THE SITE. 2. Emergency & Appropriateness of Care IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 IMMEDIATELY. THE SITE AND SERVICES ARE FOR NON‑EMERGENCY USE ONLY AND ARE NOT APPROPRIATE FOR ALL MEDICAL CONDITIONS OR CONCERNS. 3. Telehealth Consent By using the Site, you consent to receive healthcare services via telehealth from independent licensed providers. Telehealth may have risks and limitations, including limited physical examination. You will be required to review and accept a Telehealth Informed Consent prior to receiving telehealth services. 4. Eligibility This Site is offered only to individuals at least 18 years old, or the age of majority in their jurisdiction. Users aged 13–17 may use the Site only with verified parental consent and only for services offered to their age group. The Site is not directed to children under 13. 5. Our Role LIVV provides technology only and does not practice medicine, pharmacy, or provide insurance. Independent licensed providers deliver all medical care and prescriptions. LIVV does not control or interfere with provider judgment. 6. Accounts You must create an account to use certain features. You agree to provide accurate information and safeguard your login credentials. You are responsible for all activity under your account. Notify LIVV immediately of unauthorized use. 7. Subscriptions Certain products or services are available on a subscription basis with automatic renewals until cancelled. By enrolling, you authorize recurring charges. You may cancel up to 48 hours before renewal to avoid charges. 8. Prescription Products Prescription products require a valid prescription issued by a licensed provider after consultation. Prescriptions may be filled through an affiliated pharmacy or a pharmacy of your choice. Prescriptions filled through affiliated pharmacies may not be in child‑resistant containers. 9. Payments Services are cash‑pay only. LIVV and its affiliated pharmacies are NOT enrolled in Medicare, Medicaid, Tricare, or any other government program. YOU ARE SOLELY RESPONSIBLE FOR ALL COSTS OF SERVICES AND PRODUCTS. 10. Acceptable Use You may not use the Site unlawfully or fraudulently, attempt to reverse engineer, or misuse LIVV's intellectual property. 11. Intellectual Property All content and technology on the Site are owned or licensed by LIVV. You may not copy, modify, or distribute them without written permission. 12. Communications By using the Site, you consent to receive electronic communications (email, SMS, platform messages). Standard messaging rates may apply. SMS/text is not fully secure. 13. PRIVACY Your use of the Site is subject to LIVV's Privacy Policy, which explains how we collect, use, and disclose your data. 14. DISCLAIMERS THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." LIVV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ACCURACY. NO GUARANTEE IS MADE REGARDING MEDICAL OUTCOMES OR SERVICE AVAILABILITY. 15. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVV SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. IN NO EVENT SHALL LIVV'S TOTAL LIABILITY EXCEED THE GREATER OF (A) AMOUNTS YOU PAID IN THE LAST SIX MONTHS OR (B) $100. 16. Indemnification You agree to defend, indemnify, and hold harmless LIVV, its affiliates, officers, and employees from any claims or expenses arising from your use of the Site or violation of these Terms. 17. Governing Law; Venue These Terms are governed by the laws of Florida. Venue for disputes shall be exclusively in the state courts of Palm Beach County, Florida. 18. Modifications LIVV may revise these Terms by posting updates. Continued use of the Site constitutes acceptance of changes. 19. Service Availability & Regulatory Compliance Services are offered only in U.S. states where LIVV Care LLC ("LIVV") and its network providers are authorized to operate. By using the Site, you represent that you are physically located in a state where such services are legally permitted. LIVV does not guarantee availability of providers or services in all states, and certain conditions or prescriptions may not be available. 20. Insurance and Billing Disclaimer Services provided through LIVV are cash‑pay only. LIVV and its affiliated pharmacies are not enrolled with federal or state health programs (including Medicare, Medicaid, Tricare) for these services. By using our services, you agree not to seek reimbursement from any government program. THE FEDERAL NO SURPRISE BILLING ACT DOES NOT APPLY TO THESE CASH‑PAY SERVICES. 21. Consent to Recording and Data Transmission By using the Site, you consent to the electronic transmission, storage, and potential recording of communications with providers where permitted by law. You agree that LIVV may store transcripts, chat messages, and telehealth records consistent with applicable regulations and privacy practices. 22. Technology and Connectivity Disclaimer YOU ARE RESPONSIBLE FOR PROVIDING YOUR OWN DEVICE, SOFTWARE, AND INTERNET CONNECTION. LIVV IS NOT RESPONSIBLE FOR INTERRUPTIONS, FAILURES, OR DELAYS CAUSED BY NETWORK ISSUES, THIRD‑PARTY SOFTWARE, OR EQUIPMENT OUTSIDE OF OUR CONTROL. 23. Prescription Limitations Not all medications are available through telehealth consultations. Controlled substances, DEA‑restricted medications, or high‑risk therapies may be unavailable or limited. Providers retain full discretion regarding whether a prescription is appropriate. LIVV DOES NOT GUARANTEE THAT ANY PRESCRIPTION WILL BE ISSUED. 24. Force Majeure LIVV SHALL NOT BE LIABLE OR RESPONSIBLE FOR ANY FAILURE OR DELAY IN PERFORMANCE CAUSED BY EVENTS BEYOND OUR REASONABLE CONTROL, INCLUDING BUT NOT LIMITED TO NATURAL DISASTERS, PANDEMICS, STRIKES, INTERNET OUTAGES, OR GOVERNMENT ACTIONS. 25. User Responsibilities You agree to provide accurate and complete information about your health history, medications, and allergies. You further agree to follow provider instructions and treatment plans. FAILURE TO PROVIDE ACCURATE INFORMATION OR TO FOLLOW INSTRUCTIONS MAY AFFECT TREATMENT OUTCOMES AND IS YOUR SOLE RESPONSIBILITY. 26. Termination for Misuse LIVV reserves the right to suspend or terminate your account at any time for misuse of the Site, provision of false information, abuse of telehealth services, attempts to obtain inappropriate prescriptions, or violation of these Terms. 27. Integration Clause These Terms, together with LIVV's Privacy Policy and any additional agreements expressly referenced herein, constitute the entire agreement between you and LIVV regarding the use of the Site. They supersede any prior agreements, whether written or oral, relating to the subject matter.
